Terms of Service

1. Introduction
Welcome to KORENA (also stylized “KORĒNA”), a United States-based online marketplace for musical instruments and related gear (“KORENA,” “we,” “us,” or “our”). These Terms of Service (“Terms”) form a binding legal agreement between you and KORENA and govern your use of the KORENA website, mobile experience, AI shopping assistant, and related services (collectively, the “Service”). These Terms cover your eligibility to use the Service, orders and payments, shipping and returns, acceptable use, our intellectual property, how disputes are handled, and more.
2. Acceptance of terms
By accessing or using the Service, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree with any part of these Terms, do not use the Service. We may update these Terms from time to time as described in Section 14 below; continuing to use the Service after an update means you accept the updated Terms.
3. Account requirements
You must be at least 18 years old and capable of entering into a legally binding contract under the laws of your jurisdiction to create an account or place an order. By using the Service you represent that you meet these requirements. You agree to:
- Provide accurate, current, and complete information during account creation and at checkout.
- Keep your login credentials confidential and not share your account with others. You are responsible for all activity that occurs under your account.
- Maintain only one account per person. We may suspend or consolidate duplicate accounts.
- Notify us promptly at support@korena.com if you suspect unauthorized access to your account.
Authentication on KORENA is provided by Clerk. KORENA also supports guest checkout; if you later create an account using the email address from a guest order, your prior guest orders may be claimed and linked to your account.
4. Orders and payment
- Order acceptance: Your order is an offer to buy the products listed. We accept your offer when we send an order confirmation email. Until that confirmation is sent, no contract of sale exists. Product availability, pricing, and descriptions are subject to change without notice.
- Right to cancel: We reserve the right to cancel or refuse any order, including orders we suspect are fraudulent, orders for products whose price or description was incorrectly listed, and orders that exceed available stock. If we cancel an order after payment has been authorized or captured, we will issue a full refund to the original payment method.
- Payment: Payment is processed by Stripe. By submitting payment information, you authorize Stripe (on our behalf) to charge the applicable amounts. KORENA does not see or store full card numbers. Accepted payment methods are listed at checkout.
- Currency and taxes: All prices are shown in United States dollars (USD). Sales tax is calculated at checkout based on your shipping destination and applicable state and local tax rules. Unless stated otherwise, prices do not include shipping or taxes.
- Pricing errors: If we identify a pricing error after an order has been placed, we will contact you with options (confirm at the corrected price or cancel for a full refund) before charging or shipping.
5. Shipping and delivery
KORENA ships to addresses within the United States only. Shipping methods, processing times, carriers, and estimated delivery windows are described in our Shipping Policy. Title to products and the risk of loss or damage pass to you upon delivery by the carrier. Delivery dates are estimates provided by the carrier and are not guaranteed.
6. Returns and refunds
Returns, exchanges, and refunds are governed by our Returns Policy. The standard return window is 30 days from delivery. Some items are final sale or non-returnable, and returned items must meet the eligibility requirements in the Returns Policy. Please read that policy for full details before initiating a return.
7. Acceptable use
You agree not to:
- Violate any law, regulation, or third-party right in connection with your use of the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas of the Service, its AI models, its prompts, or its tools, except to the extent that applicable law expressly permits despite this limitation.
- Scrape, crawl, spider, or harvest content, product listings, or pricing from the Service except as permitted by our robots.txt file.
- Resell, redistribute, or exploit the Service or its content for commercial purposes without our prior written consent. Product purchases for ordinary personal use are not affected.
- Circumvent, disable, or interfere with rate limits, security features, authentication checks, or access controls.
- Attempt to manipulate, jailbreak, prompt-inject, or otherwise coerce the AI shopping assistant into producing outputs, taking actions, or disclosing information outside its intended scope.
- Use the Service for any fraudulent, illegal, harassing, defamatory, obscene, or otherwise harmful purpose.
- Use automated tools to create accounts, submit orders, or abuse promotional codes, referral credits, or other incentives.
We may suspend or terminate access to any user who violates these acceptable-use rules, and we may report illegal activity to law enforcement.
8. Intellectual property
“KORENA” and “KORĒNA,” along with our logos, product icons, and site design, are trademarks of Guitar Center, Inc. The Service — including the website code, user interface, copy, product imagery, AI prompts, tool schemas, and databases — is owned by KORENA or its licensors and is protected by copyright, trademark, trade-secret, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial shopping purposes. All rights not expressly granted are reserved.
By submitting content to the Service — including product reviews, questions, chat conversation transcripts, and support communications — you grant KORENA a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, display, and distribute that content in connection with operating, improving, and promoting the Service, including for internal service-quality evaluation and memory features. You represent that you have the right to grant this license and that your content does not infringe the rights of others.
9. AI shopping assistant
KORENA offers an AI shopping assistant. When you chat with the assistant, the messages you type are processed to generate responses. Transcripts of your conversations may be retained to support features such as in-session memory and follow-up context, evaluate service quality, improve recommendations, and investigate support issues, as described in our Privacy Policy.
The AI assistant’s outputs — product recommendations, comparisons, explanations, and answers — are informational only. They are not professional advice, appraisals, or guarantees. AI outputs may contain errors, omissions, or outdated information. You are responsible for verifying product details, pricing, and availability before making a purchase. Your reliance on the assistant is at your own risk.
10. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT CONTENT OR AI-GENERATED OUTPUTS WILL BE ACCURATE OR RELIABLE. ANY MANUFACTURER WARRANTIES ON PRODUCTS YOU PURCHASE ARE PROVIDED BY THE MANUFACTURER AND NOT BY KORENA.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORENA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A SPECIFIC ORDER EXCEED THE AMOUNT YOU ACTUALLY PAID TO KORENA FOR THAT ORDER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
12. Indemnification
You agree to defend, indemnify, and hold harmless KORENA, Guitar Center, Inc., and their respective affiliates, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) content you submit to the Service. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.
13. Dispute resolution, governing law, and arbitration
Please read this section carefully. It affects your legal rights.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Except for the exceptions noted below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures (or, for claims of less than $250,000, under its Streamlined Arbitration Rules). The arbitration will be conducted in Los Angeles County, California, or, at your election, in the U.S. county where you reside. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. You and KORENA each agree that any dispute will be brought in your or our individual capacity only, and not as a plaintiff or class member in any purported class, consolidated, or representative action. The arbitrator may not consolidate claims from more than one person or preside over any form of representative or class proceeding.
Exceptions. Either party may bring an individual action in small-claims court for claims within its jurisdiction. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual-property rights.
If any portion of this Section 13 is found to be unenforceable, the unenforceable portion will be severed and the remainder will continue in effect; however, if the class-action waiver is found unenforceable with respect to a particular claim, that claim (and only that claim) will proceed in court in Los Angeles County, California.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent in-app notice before the changes take effect. The “Last updated” date at the top of this page reflects the most recent version. Your continued use of the Service after an update constitutes acceptance of the updated Terms.
15. Miscellaneous
These Terms, together with the Privacy Policy, Shipping Policy, and Returns Policy, constitute the entire agreement between you and KORENA regarding the Service. Our failure to enforce any provision is not a waiver of that provision. If any provision is held invalid, the remaining provisions will remain in full force. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
